The following email was sent by Joshua Peirez, the Chief Executive Officer of Sterling Check Corp., to employees of Sterling Check Corp., on February 29, 2024:

Team Sterling,

Today is an exciting day in our company’s history as Sterling and First Advantage announced a definitive agreement to bring our companies together to provide enhanced employment background screening and identity verification solutions. You can read the joint news release here.

I believe that strategically Sterling and First Advantage belong together. By joining forces with First Advantage, we can fully realize our long-term strategy of becoming one of the world’s most trusted background and identity services companies, differentiated by our deep market expertise, excellent client service, best-in-class data, and seamless workflows.

Together with First Advantage, we will be able to offer a broader suite of products and solutions, while providing clients with greater choice and maintaining the same standard of high-quality service our team delivers every day. Like Sterling, First Advantage is focused on delivering excellent client service and exceptional client and candidate experiences that are mobile-first, highly intuitive, and data-driven. We know that First Advantage shares our commitment to excellence, and we look forward to what we will be able to achieve together after the transaction closes.

We expect to close the transaction in approximately the third quarter of 2024, subject to required regulatory approvals, clearances, and other customary closing conditions. Until close, Sterling and First Advantage will continue to operate as separate and independent companies. We should all focus on our work as part of #TeamSterling and uphold our communication and social media policies in our Employee Handbook.

I know you have many questions and want to know more about what to expect next. I will be hosting a Global Town Hall at 10:30 a.m. ET today so that we can come together as a Sterling team during which time we will share more about the process ahead as well as our 4th Quarter and Year-End 2023 results also announced today. The invitation for this special Global Town Hall will be sent to you shortly from EmployeeExperience@Sterlingcheck.com.

Thanks for all that you do and for your continuing support!

Josh
